Terms of Use

1. Acceptance of Terms
By accessing or using the HivePipe platform (the “Service”), you agree to be bound by these Terms of Use (“Terms”). The Service is operated by Reyem Technologies Inc., including its parent, sister, and subsidiary companies (“Reyem Technologies,” “we,” “us,” or “our”). If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and references to “you” include both the individual and the organization.
If you do not agree to these Terms, you must not access or use the Service. Continued use of the Service after any modification to these Terms constitutes acceptance of the revised Terms.
2. Description of Service
HivePipe is a B2B SaaS platform that assists software teams in generating structured Product Requirements Documents (PRDs) through AI-assisted conversations, and in orchestrating agentic software delivery pipelines. Core capabilities of the Service include:
- AI-Powered PRD Generation: Conversational interfaces backed by large language models (LLMs) that produce structured PRDs covering summaries, problem statements, acceptance criteria, technical constraints, affected files, test requirements, and out-of-scope items.
- Agentic SDLC Pipelines: Dispatch of automated agent jobs that analyze codebases, generate code changes, and create pull requests in connected source control systems.
- Multi-Tenant Workspaces: Organization-scoped environments with role-based access control, shared PRD libraries, and team collaboration features.
- Codebase Intelligence: Analysis of repository content and structure to inform PRD generation and agent job execution.
The Service is currently in private beta and is available by invitation or waitlist only. Features, availability, and pricing are subject to change during this period. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice during the beta period.
3. Account Registration and Security
Access to the Service requires authentication via a supported OAuth provider (GitHub, Google, or Microsoft). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
Each user account is associated with one or more organizations within the platform. Organizations are the primary unit of tenancy; all PRDs, agent jobs, and associated data belong to the organization, not to individual users. The organization owner is responsible for managing membership, roles, and access permissions within their organization.
You must notify us immediately at legal@reyem.tech if you become aware of any unauthorized access to your account or organization. We are not liable for any loss resulting from unauthorized use of your account credentials.
You may not share your account credentials, transfer your account to another party, or allow others to access the Service through your individual account. Organizations may grant access to additional users through the platform's invitation system.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:
- Violate any applicable local, national, or international law or regulation, including export control laws and data protection regulations.
- Generate, store, or transmit content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
- Submit code, data, or instructions designed to harm, compromise, or gain unauthorized access to any system, network, or service.
- Attempt to reverse-engineer, decompile, disassemble, or otherwise derive source code from the Service or its underlying infrastructure.
- Scrape, crawl, or systematically extract data from the Service using automated means without our prior written consent.
- Use the Service to develop a competing product or service, or to benchmark the Service for commercial publication without our express written permission.
- Interfere with or disrupt the integrity, performance, or availability of the Service or its underlying infrastructure.
- Circumvent any access controls, rate limits, or security measures implemented by the Service.
We reserve the right to suspend or terminate access to the Service for any user or organization that violates these acceptable use requirements, without prior notice.
5. Intellectual Property
Reyem Technologies IP
The Service, including its software, design, user interface, and all content provided by Reyem Technologies, is owned by or licensed to Reyem Technologies and is protected by applicable intellectual property laws. These Terms do not transfer any ownership of our intellectual property to you. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the term of your subscription solely for your internal business purposes.
Your IP
You retain all ownership rights to the content, code, and data you submit to the Service, including prompts, repository content, and PRD content you create (“User Content”). You grant Reyem Technologies a limited, worldwide, royalty-free license to process, store, and transmit your User Content to the extent necessary to (a) provide the Service to you and (b) analyse aggregated, de-identified usage patterns and data to improve, develop, and enhance the Service, including training proprietary machine-learning models operated by Reyem Technologies. We will never disclose your User Content to third parties except as required to operate the Service on your behalf (for example, transmitting prompts to your chosen LLM provider).
AI-Generated Output
Outputs generated by the Service, including PRDs, code changes, and pull request content, are produced on your behalf using AI models. You are responsible for reviewing, validating, and determining the appropriate use of all AI-generated output. To the extent permissible by law, any AI-generated output delivered to you through the Service is provided for your use subject to these Terms.
6. User Content and Data
You are solely responsible for all User Content you submit to the Service, including code repositories, product descriptions, chat messages, and configuration data. By submitting User Content, you represent and warrant that:
- You have all necessary rights, licenses, and permissions to submit the User Content and to grant us the license described in Section 5.
- Your User Content does not infringe any third-party intellectual property rights, privacy rights, or other rights.
- Your User Content does not contain personal data of third parties in a manner that would violate applicable privacy laws without appropriate authorization.
We implement reasonable technical and organizational measures to protect User Content. However, you acknowledge that no system is completely secure and that we cannot guarantee absolute security of your data.
Repository data and code submitted for codebase analysis is processed by the Service and may be transmitted to third-party LLM providers for inference, subject to your configured API keys and provider settings. You are responsible for ensuring that any code or data submitted is appropriate for processing by those third-party providers under their respective terms of service.
7. API Keys and Third-Party Services
The Service supports bring-your-own-key (BYOK) integration with third-party LLM providers, including but not limited to Anthropic, OpenAI, Google, and OpenRouter. When you provide API keys for these services:
- Your API keys are encrypted at rest using AES-256-GCM encryption and are stored securely within your organization's workspace. We access your keys only to facilitate Service functionality on your behalf.
- You are solely responsible for all costs, fees, and charges incurred through the use of your API keys, including all inference costs billed by third-party LLM providers as a result of your use of the Service. We do not pay for, reimburse, or cap your third-party provider costs.
- You are responsible for ensuring your API keys remain valid, have sufficient quota, and comply with the applicable provider's terms of service.
- If your API keys are compromised, you must revoke them with your provider immediately and update your Service configuration. We are not liable for unauthorized charges arising from compromised keys.
The Service may also integrate with third-party source control systems (such as GitHub) to read repository content and create pull requests. Your use of these integrations is subject to the applicable third-party terms of service. We are not responsible for the availability, accuracy, or behavior of third-party services.
8. AI-Generated Output Disclaimer
The Service uses artificial intelligence and large language models to generate PRDs, code suggestions, pull requests, and other outputs. You acknowledge and agree that:
- No guarantee of quality or accuracy: AI-generated outputs may contain errors, omissions, inaccuracies, or content that is inappropriate for production use. Reyem Technologies makes no representations or warranties regarding the quality, accuracy, completeness, fitness for purpose, or correctness of any AI-generated output.
- Human review required: All AI-generated outputs — including code changes and pull requests — must be reviewed and validated by qualified human personnel before being relied upon, merged into production systems, or acted upon in any consequential manner.
- No liability for AI outputs: Reyem Technologies is not liable for any loss, damage, cost, or liability arising from your reliance on or use of AI-generated outputs, including any defects in AI-generated code that result in security vulnerabilities, data loss, or system failure.
- Model limitations: AI models may produce outputs that reflect biases, outdated information, or factual inaccuracies. You are responsible for independently verifying any factual claims or technical assertions in AI-generated content.
9. Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.
For enterprise customers with specific data processing requirements, we offer Data Processing Agreements (DPAs) upon request. Please contact legal@reyem.tech to request a DPA.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will Reyem Technologies, its officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or cost of substitute services, arising out of or in connection with your use of or inability to use the Service, even if Reyem Technologies has been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, Reyem Technologies' total cumulative liability to you for all claims arising out of or related to these Terms or the Service, whether in contract, tort, statute, or otherwise, will not exceed the greater of (a) the amount you paid to Reyem Technologies for the Service in the twelve (12) months preceding the claim, or (b) one hundred US dollars (USD $100).
During the private beta period, where the Service is provided at no charge, Reyem Technologies' liability is limited to the maximum extent permitted by law.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Reyem Technologies and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms;
- Your use of the Service, including any AI-generated outputs you act upon;
- Your User Content, including any claim that your User Content infringes a third party's intellectual property or privacy rights;
- Your use of third-party API keys and the costs or liability incurred thereby;
- Your violation of any applicable law or the rights of any third party in connection with your use of the Service.
12. Termination
Either party may terminate access to the Service at any time. You may deactivate your organization or request account deletion by contacting legal@reyem.tech. We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach any provision of these Terms, if we are required to do so by law, or at our discretion during the private beta period.
Upon termination, your right to access and use the Service ceases immediately. We may delete your organization's data in accordance with our data retention policies. You are responsible for exporting any data you wish to retain prior to termination. Provisions of these Terms that by their nature should survive termination — including Sections 5, 8, 10, 11, and 14 — will survive.
13. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice by updating the “Last updated” date at the top of this page and, where appropriate, by sending a notification to the email address associated with your account or posting a notice within the Service.
Your continued use of the Service after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada for the resolution of any dispute arising out of or relating to these Terms or the Service.
If you are accessing the Service from outside Canada, you are responsible for compliance with local laws. The Service is not directed to users in jurisdictions where its use would be prohibited by applicable law.
